MEMBERSHIP AGREEMENT FOR BUYING LEADS
TERMS OF USE
HKTDC's Terms of Use (please refer to the Terms of Use on info.hktdc.com) are incorporated in and apply to this Membership Agreement in addition to the following terms and conditions. References therein to these "Terms of Use" are to be read as references to this "Membership Agreement".
REGISTRATION
  • Before you may access Buying Leads, you must register as a user by completing an application form specified by HKTDC. HKTDC may reject any application to use Buying Leads without need to give any reason.
  • By making an application, you warrant that:
    • all actions needed to authorise your entry into and performance of this Membership Agreement have been taken;
    • this Membership Agreement constitutes your legal, binding and enforceable obligations; and
    • the information provided in respect of your application is true and complete.
  • Your application may be accepted by HKTDC by communicating your Member ID and Password by email or other means to you.
  • You agree to provide such information as may be reasonably requested by HKTDC for the purpose of processing your application.
  • You agree to notify HKTDC promptly if there is any material change in your information.
  • You agree to the use and disclosure of your information in the manner set out in our Privacy Policy Statement (as updated from time to time).
BUYING LEADS
  • The Information on Buying Leads is provided entirely by the other users of Buying Leads, and has not been verified in any way of HKTDC. Neither the posting of any Information, nor any matching or notification of Information, nor any other action by HKTDC constitutes any recommendation or endorsement by HKTDC for any purpose with respect to any person, offer, product or service.
  • HKTDC may refuse to post any Information on Buying Leads without need to give any reason. HKTDC may, without liability to you or to the other users, edit any Information submitted by you before posting it on Buying Leads. HKTDC may at any time at its sole discretion remove all or any Information provided by you from Buying Leads, without liability to you or to the other users
  • Information will be posted on Buying Leads for such period as determined by HKTDC from time to time. Any amendment to an Information posted on Buying Leads will be treated as an application for a new posting.
  • You warrant that the Information submitted by you to Buying Leads will be true and not misleading, will comply with all applicable laws and regulations, and will not infringe in any way any right of any other person. Information submitted by you and accepted for posting will become accessible by the public.
  • You agree to indemnify HKTDC against all liabilities, damages, claims, actions, costs and expenses (including without limitation legal fees), in connection with or arising from any Information provided by you.
  • HKTDC is not responsible for any use by any other person of any Information on Buying Leads.
  • You may only use Buying Leads for your own internal purpose.
  • Only a user authorised by HKTDC and such user's employees may use Buying Leads. You may not transfer all or any of your rights or obligations under this Membership Agreement to any other person, or permit any other person to use your Member ID or Password.
  • Buying Leads is free of charge, but HKTDC reserves the right to levy charges at any time.
  • You are responsible for providing and maintaining necessary telecommunication lines, software and equipment to access Buying Leads and to retrieve Information and for all associated costs.
TERMINATION
You may terminate this Membership Agreement by not less than 30 days' prior notice in writing (including through email) to HKTDC. HKTDC may at any time terminate this Membership Agreement by notice to you with immediate effect, without need to give any reason. Termination of this Membership Agreement automatically terminates your right to access or use Buying Leads, but will not affect any right accrued to either party under this Membership Agreement prior to such termination.
NOTICES
  • HKTDC may give notice to you by means of a general notice on Buying Leads, or by ordinary mail to your address, by facsimile to your facsimile number or by email to your email address on HKTDC's record. Any notice sent by a general notice on Buying Leads or to your facsimile number or email address is deemed to be received on the day sent or (if sent by post to an address outside Hong Kong) 7 days of posting.
  • You may give notice to HKTDC by email to sourcing@tdc.org.hk or ordinary mail to Hong Kong Trade Development Council, 38/F, Office Tower, Convention Plaza, 1 Harbour Road, Wanchai, Hong Kong, attention: E-Commerce Department or such other address as we may specify from time to time.
ENTIRE AGREEMENT
This Membership Agreement and the Terms of Use constitute the entire agreement between HKTDC and you with respect to the subject matter hereof, and supersede all other written or oral agreements and representations, and any provisions in any documents sent by either party to the other, with respect to such subject matter. In the event of conflict between this Membership Agreement and the Terms of Use, this Membership Agreement prevails.
